Terms of Service

1. About Tallwater
Tallwater is a fractional CTO and digital operations firm based in Belfast, Maine. We build and manage operations infrastructure for small service businesses — including CRM systems, workflow automation, communications tools, and data reporting — on a monthly retainer basis.
These Terms of Service govern your use of the Tallwater website and any services you engage us to provide. By using this website or entering into a service agreement with Tallwater, you agree to these terms.
2. Services
Tallwater provides ongoing operations services under monthly retainer agreements. We do not offer one-time project builds or fixed-scope engagements. The specific scope of services is defined in your retainer agreement, which will reference the tier (Essential, Growth, Partner, or Enterprise) you have selected.
Services may include GoHighLevel CRM configuration and management, workflow automation via n8n, Twilio voice and SMS infrastructure, AI-powered tools built on the Claude API, and custom reporting dashboards via Supabase. The tools used will depend on your tier and operational needs.
Tallwater reserves the right to modify, update, or improve the systems we build on your behalf as part of ongoing service delivery.
3. Payment and Billing
Retainer fees are billed monthly or annually as specified in your service agreement. Annual commitments are billed at a reduced monthly rate. Month-to-month agreements are billed at a higher rate and require 30 days written notice to cancel.
Tallwater does not charge per-seat fees, setup fees, or project surcharges. The retainer rate covers all work within your tier.
If a payment fails, Tallwater will notify you and allow a 7-day grace period before pausing services. Refunds are not provided for partial months of service.
4. Your Responsibilities
You are responsible for providing accurate information about your business, granting Tallwater necessary access to the systems and platforms we need to do the work, and designating a point of contact who can respond to questions in a reasonable time.
You are responsible for maintaining any third-party accounts (GoHighLevel, Twilio, Supabase, etc.) required for service delivery. Tallwater will help you configure these systems but you retain ownership of your accounts and data.
You agree not to use any systems built by Tallwater for unlawful purposes, including spam, harassment, or fraud.
5. Data Ownership
You own your data. The systems Tallwater builds on your behalf — including your CRM data, contact lists, automations, and reporting infrastructure — belong to you. If your engagement ends, Tallwater will assist in transitioning access and documentation to you or a party you designate.
Tallwater does not sell, share, or monetize your business data.
6. Confidentiality
Tallwater treats your business information as confidential. We will not disclose details of your operations, clients, or systems to third parties without your permission, except as required by law.
In exchange, we ask that you treat our processes, pricing structures, and internal documentation as confidential as well.
7. Limitation of Liability
Tallwater's liability for any claim arising from services rendered is limited to the amount paid in the three months preceding the claim. Tallwater is not liable for indirect, incidental, or consequential damages, including lost revenue or data loss resulting from third-party platform outages or failures.
We build systems using third-party platforms (GoHighLevel, Twilio, n8n, Supabase, Anthropic). Service disruptions caused by those platforms are outside our control, though we will work to resolve them promptly.
8. Termination
Either party may terminate a month-to-month retainer with 30 days written notice. Annual commitments may be terminated early under the conditions specified in your service agreement.
Tallwater reserves the right to terminate services immediately if a client engages in unlawful behavior or materially violates these terms.
Upon termination, Tallwater will provide documentation and access transfer for all systems within a reasonable period, typically 10 business days.
9. Governing Law
These terms are governed by the laws of the State of Maine. Any disputes will be resolved in the courts of Waldo County, Maine, unless otherwise agreed in writing.
10. Changes to These Terms
Tallwater may update these terms from time to time. If we make material changes, we will notify active clients by email at least 14 days before the changes take effect. Continued use of our services after that date constitutes acceptance of the updated terms.
